Welcome to Filevertise (“we,” “us,” or “our”). These Terms and Conditions (“Terms” or “Agreement”) govern your access to and use of our website, Content, products, and services (collectively, the “Services”). By accessing or using Filevertise in any manner—including uploading files, creating an account, or merely downloading from a shared link—you agree to be bound by these Terms, as well as any additional guidelines, policies, or rules incorporated by reference.

If you represent a company, organization, or government entity, you affirm that you have the authority to accept these Terms on its behalf. If you do not fully agree to these Terms, you must immediately discontinue any use of the Services. Your continued use after any modifications signifies your acceptance of these Terms and any changes made.

1. Eligibility and Acceptance of Terms

1.1. Age Requirements

• Minimum Age: You must be at least 18 years of age and have full capacity, ability, and authorization to agree to our terms, privacy policy, and other agreements to use FileVertise, If you are under 18 or do not have the ability to fully understand and agree, you may not use Filevertise.
• Premium or Monetized Services: You must be at least 18 years of age to access or use any premium or monetized features.
• Authority: By using Filevertise on behalf of a business or other entity, you warrant that you have the authority to bind that entity to these Terms.

1.2. Your Consent
By accessing or using any part of the Filevertise Services, you acknowledge that you have read, understood, and agree to comply with these Terms. If you do not agree, you are prohibited from using Filevertise.

1.3. Modifications
Filevertise may modify or update these Terms at any time. Changes become effective immediately upon posting. Continued use of the Services after changes have been posted constitutes acceptance of the modified Terms. If you do not agree to any revised Terms, you must stop using the Services immediately.

2. Description of Services

2.1. File Upload and Sharing
Filevertise provides users with a platform to upload, share, and potentially monetize digital files that they fully own all rights too and are legal with all laws (including those in other countries). We are not a backup or archival service; important or sensitive files should not be stored solely on Filevertise. All files are open publicly and can be accessed and downloaded by anyone. Files may be removed or deleted at any time, and we assume no responsibility for the preservation or accessibility of user files.

2.2. Monetization Features
When allowed, you may earn revenue from downloads or other metrics at our discretion. We do not guarantee that any user will earn a specific amount. Payouts and earnings on FileVertise are not a right. We also reserve the right to deny, withhold, or refuse payouts for any reason, including but not limited to suspected fraudulent activity, policy violations, or technical issues.

2.3. Open and Public Nature
Files uploaded to Filevertise may be publicly accessible. You understand that Filevertise is not liable for any unauthorized viewing, downloading, sharing of your files by third parties, or anything that happens from using our service.

2.4. No Guarantee of Service Continuity
We may change, suspend, or discontinue any feature of the Services at any time without prior notice or liability. This includes availability of any content, functionality, or user data.

3. User Accounts and Responsibilities

3.1. Account Creation
You may need to create an account to access certain features. You agree to:

• Provide accurate and complete information during registration.
• Maintain the confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.

3.2. Prohibited Account Activities
You must not:

• Impersonate any person or entity or misrepresent your affiliation.
• Allow unauthorized persons to use your account.
• Create multiple accounts to bypass restrictions or for fraudulent or malicious reasons.

3.3. Security
Filevertise uses commercially reasonable measures to protect account information but does not guarantee absolute security. You are advised to use the Services at your own risk and should implement your own security practices.

3.4. Account Termination
We reserve the right to suspend or terminate any account at any time, without notice, for violating these Terms or for any other reason at our sole discretion and do not have to give any reason. Upon termination, you may lose access to your account, files, or any pending payouts.

4. Content Ownership and Licenses

4.1. User-Generated Content
“Content” includes text, software, scripts, graphics, photos, sounds, videos, audiovisual combinations, or other material that you upload or share via Filevertise. You affirm that you own or have the necessary licenses  and legal rights to upload or distribute such Content, and all content is fully compliant and legal.

4.2. Your Rights
You retain all ownership rights to your Content. Filevertise does not claim any ownership over your Content. However, by uploading or sharing Content, you grant Filevertise a worldwide, non-exclusive, royalty-free, limited license to store, display, and distribute your Content to the extent necessary to provide the Services.

4.3. Removal of Content
You can remove your Content at any time. Once removed, the license granted to Filevertise for that specific Content terminates, except that Filevertise may retain archived copies for internal business purposes as required by law.

5. User Conduct and Prohibited Content

5.1. Prohibited Content
You must not upload, share, or otherwise distribute content that is but not limited to:

• Illegal or Unauthorized Content: Including copyright-infringing files, stolen data, or content promoting illegal activities.
• Malware or Harmful Code: Viruses, worms, Trojans, or any other items that could damage devices or data.
• Pornographic, Adult-Only Content or Abuse Material if prohibited by local law or these Terms.
• Hate Speech or Harassment: Material that promotes violence, harassment, or discrimination against any group or individual.
• Defamatory or Libelous Content.
• Misleading, Fraudulent, or Misrepresentative Material.
• Excessively Violent, Terroristic, or Extremist Content.
• Content Encouraging Self-Harm.
• Copyrighted or Protected Content
  You may not link to copyrighted or protected material unless you possess the required rights or permissions.
• Misleading, Fraudulent, or Illegal Software
  You may not link to software designed for deceptive, unlawful, or fraudulent purposes.
• Malware or Adware
  You may not link to content that distributes malware, adware, or other harmful code.
• Artificial View Inflation
  You may not click on your own links or engage in any practices (e.g., bots, pay-to-click services, autosurf programs) that artificially increase views or circumvent technical protection measures.
• Pornographic or Adult-Only Content
  You may not link to sexually explicit or adult-only material.
• Violent, Hateful, or Harassing Content
  You may not link to material that promotes violence, hate speech, harassment, bullying, or other forms of abuse.
• Illegal Drugs
  You may not link to content involving the promotion or sale of illegal drugs.
• Loop Traffic or Chain Linking
  You may not create link chains by nesting multiple links (so-called “loop traffic”) or otherwise confuse visitors by repeatedly linking Linkvertise links to each other.
• Additional Monetization or Third-Party Sharing
  You may not monetize the same deep links through other comparable services or make them accessible to third parties for similar monetization, contradicting any exclusive rights granted to the provider.

5.2. Prohibited Actions
You must not:

• Artificially Inflate downloads or views (e.g., using bots, scripts, autosurf, pay-to-click).
• Chain or Loop Links (e.g., repeatedly linking to multiple Filevertise links to confuse users).
• Bypass Technical Restrictions designed to ensure fair usage.
• Collect User Data without consent.
• Resell, Redistribute, or Share your Filevertise account or credentials.
• Spam or conduct unlawful solicitations.
• Use the Services for any illegal purpose or in violation of any local, state, national, or international law.

5.3. Right to Remove or Disable
Filevertise may remove or disable access to any Content at its sole discretion if it violates these Terms or is otherwise objectionable. Repeated violations may lead to suspension or termination of your account.

6. Monetization and Payment Terms

6.1. Earnings and Revenue Share

• Your earnings, if any, may be based on the number of legitimate downloads or other performance metrics.
• No Guarantee of earnings is provided.
• We reserve the right to suspend, reduce, or deny payouts for suspicious activity, including fraudulent downloads, bot traffic, policy violations, or any reason we want without notice or reason. Moetization and payouts on FileVertse are not a guarantee and not a right.

6.2. Payout Threshold and Payment Methods

• You may be required to reach a certain minimum threshold before requesting a payout (e.g., $10).

6.3. Withholding and Denial of Payment
We may withhold or deny payments if but not limted to:

• You engage in prohibited activities.
• We detect fraud, invalid traffic, or technical errors.
• You fail to provide accurate payout information.
• For any other reason at our sole discretion.

6.4. Taxes
You are solely responsible for any taxes, duties, or governmental fees owed as a result of your activity and earnings on Filevertise. You must comply with all applicable tax laws.

7. Disclaimer of Warranties

7.1. “As Is” and “As Available”
Filevertise Services are provided on an “as is” and “as available” basis. We do not guarantee that the Services will be uninterrupted, error-free, or secure. We disclaim all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

7.2. Use at Your Own Risk
You use Filevertise entirely at your own risk. We are not responsible for loss of data, financial loss, or any other damages resulting from your reliance on or use of the Services. We also do not warrant that any downloaded or shared files will be free from viruses or other harmful components.

7.3. No Backup Service
Filevertise is not a backup or archival service, and we have no responsibility to store, maintain, or provide you with copies of your files. Users should keep independent copies of their Content at all times.

8. Limitation of Liability

8.1. No Liability for User Conduct or Content
Filevertise is not liable for the conduct of users or the Content they upload. We do not endorse or guarantee the accuracy, legality, or quality of user-generated material.

8.2. Exclusion of Damages
To the fullest extent permitted by law, Filevertise and its affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services (including loss of data or loss of earnings), whether or not we have been advised of the possibility of such damages.

8.3. Maximum Liability
In jurisdictions that do not allow the exclusion of implied warranties or limitation of liability, our liability shall be limited to the amount you have earned from Filevertise in the 3 months preceding the claim or $100, whichever is less, and only if such limitation is permissible under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Filevertise, its affiliates, officers, directors, employees, and agents from and against all third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to but not liited to:

1. Your use or misuse or actions of the Services;
2. Your violation of these Terms;
3. Your Content, including any claim that it infringes the rights of a third party;
4. Any breach of your representations, warranties, or obligations under this Agreement.

This indemnification obligation does not apply to the extent that any such losses or liabilities result from the willful misconduct or gross negligence of Filevertise.
 

10. Copyright Policy (DMCA) and IP Infringement

If you believe that your copyrighted work (or other IP rights) is being infringed via Filevertise, please follow our DMCA or relevant copyright policy instructions (if provided on our Site). We respond to notices of alleged infringement that comply with applicable law.

11. Privacy and Data Protection

11.1. Privacy Policy
Our Privacy Policy governs how we handle user data and is incorporated into these Terms by reference. By using Filevertise, you acknowledge that you have read and understand our Privacy Policy.

11.2. No Responsibility for Sensitive Data
You should not upload confidential, sensitive, or critical files to Filevertise. We disclaim all liability for any unauthorized access, corruption, disclosure of such files or anything that happens.

12. Termination

12.1. User-Initiated Termination
You may terminate your account at any time by deleting your files and ceasing use of the Services. Termination does not entitle you to any earned payout if you violated these Terms, or if payouts are otherwise withheld.

12.2. Filevertise-Initiated Termination
We may suspend or terminate your account (and any access to the Services) at any time, without notice, for any reason including but not limited to:

• Violation of these Terms or Privacy Policy.
• Unlawful, fraudulent, or abusive activity.
• Extended periods of inactivity.
• Anything FileVertise decides, no notice is required or reason.

12.3. Effect of Termination
Upon termination, your right to use or access the Services immediately ceases. We have no obligation to store or provide copies of any Content uploaded or shared by you.

13. Force Majeure

Filevertise shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including natural disasters, acts of government, terrorism, labor disputes, or other force majeure events.

14. Governing Law and Dispute Resolution

Time Limitation
Any claim against Filevertise must be filed within one (1) year of the occurrence giving rise to the claim, or be forever barred.

15. Assignment

Filevertise may assign or delegate these Terms and any rights or obligations hereunder, in whole or in part, to any person or entity at any time without notice. You may not assign or delegate any rights or obligations under these Terms without Filevertise’s prior written consent.

16. Severability and Waiver

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect. Our failure to enforce any provision shall not be deemed a waiver of future enforcement of that or any other provision.

17. Entire Agreement

These Terms, along with our Privacy Policy and any additional policies or guidelines posted on the Site, constitute the entire agreement between you and Filevertise regarding the Services. They supersede all prior agreements, proposals, or communications, written or oral.
